Terms of Service
These Terms govern use of the public Mavtrek website and explain how they relate to customer agreements for the hosted Mavtrek service.
Effective: February 10, 2025
Last updated: November 3, 2026
Operator and Scope
Mavtrek is operated by Thinking Hats Technologies, LLC (“Thinking Hats,” “we,” “us,” or “our”). Mavtrek is a hosted, GIS-driven work and asset management platform for local governments, municipalities, utilities, and their authorized personnel.
These Terms apply to visitors using mavtrek.com and related public Mavtrek resources. They also provide baseline rules for authorized application users, but they do not replace a customer’s signed agreement.
Customer Agreements Control
Access to the hosted Mavtrek service is provided to customer organizations under an executed master services agreement, order form, statement of work, license, subscription agreement, or other written customer agreement. That customer agreement governs service scope, fees, warranties, service commitments, confidentiality, data handling, liability, termination, and other commercial terms.
If these Terms conflict with an executed customer agreement, the executed customer agreement controls. Authorized users receive access through a customer and must also follow that customer’s policies and instructions.
Accounts and Authorized Users
Application access is limited to users authorized by a Mavtrek customer. You must provide accurate account information, protect your credentials and devices, and promptly notify your customer administrator or Thinking Hats if you suspect unauthorized access. You may not share credentials or use another person’s account.
Customers are responsible for selecting their administrators, determining which personnel may use Mavtrek, assigning permissions, and promptly disabling access that is no longer authorized.
Acceptable Use
You may use the website and Mavtrek only for lawful, authorized business purposes. You may not:
- access an account, customer environment, record, or system without authorization;
- interfere with the service, bypass access controls, probe for vulnerabilities without written permission, or introduce malicious code;
- use automated means to scrape, overload, or disrupt the website or service;
- upload content that is unlawful, infringes another person’s rights, or violates a customer’s policies;
- misrepresent your identity or affiliation;
- reverse engineer or attempt to extract source code except where applicable law expressly permits it; or
- use the website or service in a way that violates applicable law or the applicable customer agreement.
Intellectual Property
The website, Mavtrek platform, software, designs, documentation, trademarks, and related materials are owned by Thinking Hats or its licensors and are protected by intellectual-property laws. No rights are granted except the limited right to use the website or service as permitted by these Terms and the applicable customer agreement.
Project deliverables, customer-specific work product, licensed software, and other negotiated intellectual-property rights are governed exclusively by the applicable signed customer agreement.
Customer Content
Customers and authorized users may provide operational, GIS, asset, work, form, attachment, and other business data (“Customer Content”). As between Thinking Hats and the customer, ownership and permitted use of Customer Content are governed by the customer agreement. Thinking Hats uses Customer Content to provide, secure, maintain, and support Mavtrek and as otherwise directed or permitted by the customer agreement.
Customers are responsible for determining what Customer Content is submitted, ensuring they have authority to provide it, configuring user access, and giving any notices required to their personnel or other individuals.
Privacy
Our Privacy Policy describes how we handle personal information, including Google Sign-In data, website analytics, account information, and Customer Content. A customer agreement may contain additional privacy, confidentiality, security, or data-processing terms.
Third-Party Services and Integrations
Mavtrek may interoperate with Google Sign-In, ArcGIS, mapping services, communications providers, and other systems selected or configured by a customer. Third-party services are governed by their own terms and privacy practices. Thinking Hats is not responsible for a third-party service outside its control, except to the extent expressly stated in a customer agreement.
Suspension and Security Measures
The applicable customer agreement controls suspension and termination of paid service. For an ordinary material breach that can be corrected, Thinking Hats will generally provide the customer written notice and 30 days to cure before suspending access.
Thinking Hats may take immediate, proportionate action when reasonably necessary to address an active security threat, unauthorized access, unlawful activity, material harm to the service or another customer, or a legal requirement. When practicable, we will notify the customer and work to restore access after the issue is resolved. Nothing in this section expands our rights beyond, or limits customer protections in, an applicable signed agreement.
Website Information
The public website provides general information about Mavtrek. Website descriptions are not a proposal, warranty, service-level commitment, or promise to provide a particular feature. Service warranties, remedies, and limitations of liability are stated only in the applicable signed customer agreement.
Ending Use
A website visitor may stop using the site at any time. Authorized-user access may be disabled by the customer that provided it. Customer termination rights, data return or deletion, fees, and transition obligations are governed by the applicable customer agreement.
Sections that by their nature should continue after use ends—including intellectual-property, Customer Content, customer-agreement priority, and governing-law provisions—will survive as applicable.
Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. A signed customer agreement may specify different or additional dispute terms, and that agreement controls for the customer relationship.
Changes to These Terms
We may update these Terms to reflect changes to the website, service, or law. We will post the revised Terms on this page and update the “Last updated” date. Changes to a signed customer agreement may be made only as permitted by that agreement.
General
If a provision of these Terms is found unenforceable, the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver. These Terms do not create a partnership, agency, employment, or joint-venture relationship.
